Job summary

The successful applicant will report to a Chief Commercial Officer and be a key member of staff in a commercial
function which is responsible for the commercial best practice, process, governance and advisory for a growing UK
based IT services and solutions business, Candidate will:
• Act as the primary point of contact for all commercial and legal enquiries relating to the Trustmarque business.
• Review and negotiate contracts, variations and change notes through to completion, including collaboration
with relevant stakeholder colleagues and our in-house legal team on more complex or substantial matters.
• Mitigate and resolve disputes to fully address concerns whilst protecting our commercial position.
• Support our business with obligation tracking of contracts to minimise risk and ensure that options for relief
are highlighted to director colleagues.
• Promote commercial awareness in all colleagues at a level appropriate to their role and experience.
• Report regularly to the Commercial Director on the progress of assigned matters and your capacity and
support requirements generally

Accountabilities and main responsibilities

Role Purpose
This role is responsible for the commercial & legal management of the business unit’s Sales, Procurement
and Contract Management activities including bids, prospects and tenders, and the commercial
contribution to successful project delivery, ensuring retained and enhanced profitability, mitigation of risk,
and successful management of potential disputes to the business units’ favour. The role holder will be the
first point of contact and key advisor on contractual and legal matters. The focus will be supporting the
business to execute effective agreements from initial sales lead to final contract signature stage.

Essential Experience & Skills Required:

  • Sales side commercial and legal experience.
  • Assessing the risk associated with contracting under government / other frameworks and
    determining the more effective contracting route.
  • Reviewing and interpreting complex contracts and supporting the business on matters of
    contractual interpretation and regarding contractual disputes and claims.
  • Self-starter and an ability to work on own initiative.
  • Ability to realign own workload to meet competing business priorities.
  • Drafting, negotiating and concluding agreements from sales lead to contract signature.
  •  Regular contact with senior stakeholders within the business.
  • Face to face negotiations with client’s legal and commercial teams.
  • Working autonomously and taking own initiative on matters.
  • “Can do” and “making things happen” attitude as opposed to deal blocker.
  • Suggesting alternative approaches on complex legal and commercial issues to business
    MD’s to facilitate sales.
  • Advising on disputes and contract management issues.
  • Be seen as a value add member in the sales process by their stakeholders.
  • Comfortable with working without reference to a Legal Team and make decisions on legal
    and commercial issues.
  • Supporting the business with effective administration of contracts including the provision of
    contractual templates and tool kits.
  • The ability to manage and interpret complex contracts whilst resolving disputes
  • Strong drafting and negotiating skills
  •  Ability to the use the suite of Office products eg: Word, Excel, PowerPoint

Key Skills Required:

  • A good understanding of contract law and it’s application.
  • The ability to manage, interpret and suggest alternative solutions to complex commercial
    contract issues.
  • Strong drafting and negotiating skills.
  •  The ability to manage and resolve contract disputes
  • Ability to the use the suite of Office products eg: Word, Excel, PowerPoint

Education and Qualifications:

  • Degree level or equivalent education
  • Job Experience At least 3-4 years’ commercial and/or legal experience within an IT environment
    including pre and post contract work with a strong focus on pre-contract deal making and contract reviews
